Kairos One PMIS Terms of Service

1. The Service

Kairos One PMIS provides software for project schedule intelligence, schedule review and quality checks, document control, action and task tracking, portfolio and portfolio reporting, review and approval workflows, and related capital portfolio management functions.

Kairos may add, modify, or discontinue features over time. Material changes that reduce core functionality will be communicated to the customer administrator in advance where practicable.

2. Accounts, Access, and Security

Access requires an authorized account. Each user is responsible for safeguarding their credentials and for activity conducted through their account, and must notify Kairos promptly of any suspected unauthorized use.

Access is governed by role-based permissions, project and company scoping, and administrative controls configured by the customer. Customers are responsible for provisioning, reviewing, and de-provisioning user access appropriately.

Kairos may suspend access that appears unauthorized, compromised, or inconsistent with these Terms in order to protect the Service and customer data.

3. Customer Data and Ownership

As between the parties, the customer (or the project owner it represents) retains all rights to data it submits to the Service, including schedules, documents, reports, action items, and workflow records ("Customer Data").

Kairos processes Customer Data solely to provide and support the Service in accordance with these Terms, the customer’s instructions, and the Privacy Policy. Kairos does not sell Customer Data, and does not use Customer Data to train, fine-tune, or improve any generative or machine-learning model — whether its own or a third party’s — except where the customer specifically consents in writing through a separate, revocable opt-in. AI sub-processors receive Customer Data only to return a response and may not train on it. Kairos may create and use aggregated and de-identified data (which cannot reasonably be re-identified) to operate, secure, and improve the Service.

4. Acceptable Use

Users must use the Service in compliance with applicable laws and applicable project, organization, and government security requirements, and must not attempt to gain unauthorized access, disrupt the Service, reverse engineer it except as permitted by law, or upload unlawful or malicious content.

5. Service Boundaries and Professional Judgment

Kairos supports decision-making but does not replace professional judgment, contract administration, legal review, engineering review, or executive approval. Automated summaries, recommendations, schedule analyses, and risk indicators are decision-support outputs and should be reviewed by authorized personnel before action is taken.

6. Availability and Support

Kairos uses commercially reasonable efforts to keep the Service available and to maintain backups and recovery procedures. Specific availability commitments, recovery objectives, support response targets, and maintenance windows, if any, are set out in the applicable order or service agreement.

7. Disclaimers and Limitation of Liability

Except as expressly stated in a signed agreement, the Service is provided "as is." To the maximum extent permitted by law, Kairos disclaims implied warranties and limits liability as set out in the applicable agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Term, Suspension, and Termination

These Terms apply for the duration of the customer’s authorized use. On termination, Kairos will make Customer Data available for export for a reasonable period and will delete or return it in accordance with the applicable agreement and the Privacy Policy retention terms.

9. Governing Law and Order of Precedence

For government customers, the terms of the executed contract and applicable procurement law and regulations govern and take precedence over these Terms where they conflict. The governing law and venue are as stated in the applicable agreement.

10. Changes to These Terms

Kairos may update these Terms. Material changes will be posted here with an updated effective date and, for active customers, communicated to the customer administrator.
